[UK-TUG] Draft motions for dissolution special general meeting (SGM)

Hi all

Summary: Discussing draft motions now will help produce an SGM agenda that
all find satisfactory. Such will help give the SGM and UK-TUG the respect
and dignity it deserves.

Below are three draft motions for the SGM at the end of the month. Motions
must be submitted by noon on Tuesday 12 October. I hope that by then we
have the essentials of an agenda for the SGM, that all interested parties
find it satisfactory. Here are the draft motions.

1. That UK-TUG's surplus assets be distributed in proportion to the
individually expressed wishes of members (subject to these wishes promoting
the objects of UK-TUG).

2. That there be an SGM to decide dissolution in the first quarter of 2022.

3. That UK TUG be dissolved.

I'm intending to submit the first two, and I hope someone who supports
dissolution will submit a motion similar to the third.  A few words about
the above draft motions. They successively provide (1) distribution of
assets in the event of dissolution, (2) a procedural motion to defer or
take now the dissolution decision, and (3) a motion to dissolve. I regard
these three steps as the essentials for achieving an orderly dissolution of
UK TUG.

Time is short. Motions close in 9 days. The committee has no special
status, regarding the moving of general meeting motions. I encourage all,
particularly committee members, to share on this list their draft motions,
so that well prior to the SGM all are happy with the essentials of the
agenda.

Regarding distribution of assets. We have about £100 surplus assets for
each of our about 80 members. (We had about £150 per member prior to the
committee approving Joseph Wright's 2020 application for funds.)  Motion
(1) gives each member a pot of money that they can distribute as the wish
for the promotion of TeX. For example, a member might say TUG gets 30,
LaTeX gets 30 and MikTeX gets 40.

Regarding the constitution. Our constitution states that if a general
meeting passes a resolution such as (1) then the committee must comply with
it on dissolution, subject only to the assets being used directly for the
objects of UK TUG or transferred to organisation[s] with purpose the same
or similar to UK-TUG.

Regarding the committee. I'm a committee member (writing in a personal
capacity). There's not been any discussion of draft SGM motions on the
committee list. The first I knew of TUG being approached as recipient of
UK-TUG funds was the message Jay Hammond sent to this list 3 days ago.
