[UK-TUG] SGM not called, despite motion 5 of AGM

Dear Members,
I write as chair, not as the representative of the committee. I think
there is some agreement in the committee for what I write below. As yet
no committee motion on the topics below has been passed.

To operate constitutionally, UKTUG needs a committee, a chair, a
secretary and a treasurer. These roles were filled by 16/11/2019 after
the AGM, following a small committee meeting. Committee business is
conducted by email for now.

I'm sorry to say that the committee has not done what you asked of it.
As chair, I should have kept track of dates and motions. I had convinced
myself that we needed to hold an Special General Meeting (SGM) in
April. But this was a mistake. It should have been held between
04/02/2020 and March 5th. And you are to have 28 days notice of the date
and venue, and at least a week's notice of the motions according to the
constitution. 2019 Agm motion text and date calculations are below. I
was warned at the AGM that the timescale was tight. It has proved
unachievable.
I have been trying hard to get members to contribute to the fulfilment
of motion 5 but have failed. So we need a General meeting to dissolve
UKTUG. In pushing for a positive response for motion 5, I have
neglected motion 6, and missed the deadline.
One member has volunteered to join a committee to plan how to fulfil
motion 5 . I have had positive suggestions from a member or two, but
that's it.
I have yet to consult you on your wishes, as I promised when elected chair.
There is no possibility of calling an SGM with no motion. So I am asking
you for more time to prepare the dissolution motion. I have some drafts,
but the finances need your input.
My next step is to ask you what to do with the funds. That will be a
separate message.

UKTUG resolved:
4 That the incoming committee give details to members within three
months of how UK-TUG continues to operate in accord with the constitution.
5 That the incoming committee give details to members within three
months of how UK-TUG continues to promote TeX use, particularly with
reference to the community beyond current members.
6 That if the incoming committee is unable to address actions from
clauses i and ii, the committee will call a special general meeting
(SEGM) to take place between 80 days and 110 days after the AGM. The
SEGM should consider a motion to dissolve UK-TUG plus other motions
which may be tabled in the fashion described by the Constitution. The
motion to dissolve must include details of how UK-TUG material will be
archived and where residual funds will be distributed.
