[UK-TUG] Motions received for SGM

Dear Member,

I herby give notice that I have received the following motions for 
consideration at the upcoming Special General Meeting (SGM).

HV1. That UK-TUG continue to function, with the proviso that
      (a) the Committee draft an updated Constitution to better reflect
      outcomes achievable by the group, and arranges for the members to
      consider this update as required by the current Constitution;
      (b) the Committee reduce asset holdings in line with part (a),
      donating dormant resources to TUG and DANTE

DS1. That UK-TUG be dissolved, and that its remaining assets be
      transferred in accordance with Clause 5(3)(b) of the Constitution
      in two equal parts to:
      (i) TeX Users Group (TUG), and
      (ii) Deutschsprachige Anwendervereinigung TeX e.V. (DANTE).

JH1. UK-TUG resolves to dissolve forthwith.

JF1. If UK-TUG is dissolved then its surplus assets will be distributed
      in proportion to the individually expressed wishes of members,
      taking into account only those wishes that are consistent with the
      constitution.

JF2. That there be an SGM on the continuation and dissolution of UK TUG
      in the first quarter of 2022.

JF3. That UK TUG be dissolved.

Motion HV1 is accompanied by the following supporting text.

The current activities of UK-TUG are much more restricted than the 
Constitution envisages. The Constitution is also likely overly complex, 
a detriment to those activities which are achievable. Continued 
operation of UK-TUG requires that the Constitution is in accord with 
what is realistic. A shorter Constitution which allows a (smaller) 
Committee to focus on DVD distribution, joint TUG membership and a 
simplified meeting structure is desirable. At the same time, avoiding 
holding 'dormant' funds would place Committee in a better position from 
a financial management point of view. A reserve to support the current 
activities of UK-TUG could be less that £1000 at present values, and the 
bulk of monies should therefore be donated to other groups more likely 
to use them productively.

Details of a revised Constitution are to be considered at a later 
meeting: this motion only seeks to ensure that this takes place.

The SGM is scheduled to run from 12:00 on 2021-10-29 to 11:59 on 
2021-11-05. Details of discussion and voting procedures will follow shortly.
