[UK-TUG] Notice of Special Electronic General Meeting

Dear Member,
Motions to be considered at the AGM were not circulated before the
meeting, as required by the Constitution. The Committee apologies for
this. As the motions do need to be approved by the membership, the
Committee has decided to hold a Special Electronic General Meeting
(SEGM) to consider the motions.
*Notice of Special Electronic General Meeting*
As required by the Constitution, this message is notice that the SEGM
will take place from the 14th of December to the 20th of December,
inclusive (a period of 7 full days). Votes will be cast by e-mailing the
Committee: uktug-committee at uk.tug.org, while discussion of the motions
should take place by emailing uktug-announce at uktug.org (which is seen by
all members). A separate e-mail will be sent immediately prior to the
start of the SEGM to indicate that the voting and discussion period has
begun.
*Motions*
The motions to be considered are:
1. That this meeting approves the accounts for 2008-9.
2. That this meeting appoints Paul Chu of 73 Zetland Street, London, E14
6PR to inspect the 2009–10 accounts.
3. That the entrance fee for new members in 2010 be £10, and that free
2010 membership be provided to 2009 members.
4. That section 10(5) be amended to read:
"Notice of any motions to be considered at a general meeting must be
given in accordance with Section 25 of this constitution, must be
received by the Secretary at least fourteen days before the date of
the meeting, and shall be circulated to members at least seven days
before the date of the meeting. If the meeting is called at short notice
under sub-clause 2 of this clause then the motions to be considered must
be agreed at the time the meeting is called."
*Explanation*
Motions 1-3 are necessary for the day to day running of UK-TUG. Motion 4
has been proposed as a clarification of the Constitution. Currently,
section 25 allows electronic communication of notices, but section 10(5)
currently reads:
"Notice of any motions to be considered at a general meeting must be
given in writing, must be received by the Secretary at least fourteen
days before the date of the meeting, and shall be circulated to members
at least seven days before the date of the meeting. If the meeting is
called at short notice under sub-clause 2 of this clause then the
motions to be considered must be agreed at the time the meeting is called."
Motion 4 does not change the substance of the Constitution, but simply
clarifies section 10(5) in light of section 25.
*Discussion at the AGM*
All four motions were discussed at the AGM, and a non-binding vote was
taken on each one. The membership present unanimously approved all four
motions.
